This website is dedicated to the online promotion and sales marketed by TOUREXP SRL.

Purchases made on www.villaromanazzi.com are under the regulations of these General Terms and Conditions of sales, which may be changed at any time by TOUREXP SRL, and are with effect from the date of the publication on the site. The submission of the order by the Customer will be considered as acceptance of the applicable sales conditions.

TOUREXP SRL observes the legislation in respect of distance contracts pursuant to Article 50 and following of the Legislative Decree n. 206 of 6 September 2005, as well as that relating to electronic commerce under Legislative Decree no. 70 of 9 April 2003. The present general conditions must be considered an integral and substantial part of the contract.

TOUREXP SRL invites the Customer to examine the conditions listed below carefully and to print or save them or both on another durable medium accessible to him or her.

1) Definitions

1.1 The term “online sales contract” refers to the buy and sale agreement relating to tangible movable properties marketed by TOUREXP SRL, stipulated between TOUREXP SRL and the Customer, as part of a remote sales system using telematic tools and being organised by TOUREXP SRL.

2) Object of the contract

2.1 With the present contract, TOUREXP SRL sells and the Customer purchases remotely, via telematic tools, the tangible movable properties indicated and offered for sale on the website www.villaromanazzi.com

2.2.1 The services referred to in the previous point are illustrated on the website www.villaromanazzi.com and described in the relevant information sheets; the image accompanying a service may not be fully representative of its characteristics.

2.3 These general sale conditions do not regulate the supply of services carried out by third parties who use direct links to the site www.villaromanazzi.com through banners or other hyperlinks/links. TOUREXP SRL can in no case be held responsible for the provision of services promised by third parties or for the execution of electronic commerce transactions between the customers of TOUREXP SRL and third parties.

2.4 TOUREXP SRL reserves the right not to process orders received from users who are not “Customers”, as well as any other order that does not adhere to the commercial policy of TOUREXP SRL.

3) Stipulation and conclusion of the contract

3.1 The contract between TOUREXP SRL and the Customer is created through the Internet with the Customer’s access to the address www.villaromanazzi.com, where, following the procedures indicated, the Customer will accept the proposal for the purchase of goods referred to in points 2.1 and 2.2 of the previous article.

3.2. The purchase contract is completed by fulfilling the following procedure, available only in Italian, which can always be corrected, modified and cancelled until the order is sent:

  • by accessing the website www.villaromanazzi.com, the Customer, after registering for the purchase, must add the desired services to the cart, complete all the following pages, follow the instructions, and transmit electronically to TOUREXP SRL the page with all the personal data and purchase order;
  • the order page contains a link to these general sale conditions and also provides information on the main characteristics of each ordered service and the relative price (including VAT), the type of payment that you have chosen for the purchase, the delivery conditions of services and the General Terms and Conditions for the return of services purchased online;
  • before proceeding with the sending of the order, the Customer will be required to identify and correct any possible errors occurred during the compilation of the fields and to read the terms and conditions carefully that regulate the sale and purchase, to print a copy using the print option and save or request a copy thereof for your own personal use;
  • an order will be considered to be sent when TOUREXP SRL will receive the order proposal electronically, and the information related to the order will have been preliminarily verified as correct.

3.3 The order sent by the Customer will be binding for TOUREXP SRL only if the whole order procedure has been completed regularly and correctly, without any website error messages, and after that TOUREXP SRL sent an order confirming e-mail to the Customer.
The e-mail contains the Customer’s details and the order also, a summary of the general and special conditions applicable to the contract, the price of the purchased goods, the means of chosen payment, the taxes and applicable taxes, and the indication of the right of withdrawal.
The Customer undertakes to verify the correctness of the data contained therein and promptly communicate any corrections to the above indicated addresses to TOUREXP SRL.

3.4 By placing an order, the Customer declares to have read all the information provided to him during the purchase procedure and to accept these general conditions of sale fully. By placing the order, the Customer expressly acknowledges that this implies the obligation to pay the price and other amounts due under these terms and conditions of sale.

The contract is not perfected and effective if there is any fault between the parties regarding the previous point.

3.5 TOUREXP SRL may not accept and process the order if there are not sufficient guarantees of the solvency of the payment, if the requests are incomplete or incorrect, or if the services are no longer available.
In the above cases, the Customer will be informed via e-mail that the contract has not been executed and that TOUREXP SRL has not confirmed the purchase order specifying the reasons thereof.

3.6 The contract stipulated between TOUREXP SRL and the Customer has to be considered concluded with the acceptance of the order, even if only partial, from TOUREXP SRL. This acceptance is considered tacit unless otherwise communicated in any manner to the Customer.

3.7 In accordance with Article 12 of Legislative Decree No. 70 of 2003, TOUREXP SRL informs the Customer that every sent order is stored in digital or paper form at its premises, according to the criteria of confidentiality and security. The Customer may at any time request a copy from TOUREXP SRL.

4) Terms of Payment

4.1 Each payment by the Customer can be made only by one of the methods indicated on the website www.villaromanazzi.com. The credit cards of the major international credit card issuers and the prepaid and rechargeable cards issued by banks in Italy are accepted:

  • PAYPAL (Postepay, Visa, Maestro, MasterCard, American Express, Discover, Aura)

4.2 In the case of PayPal payments, the actual charge of the order will occur only when the order is completed and ready to be delivered.

If the unavailability of the service is detected after the order registration and the reservation of the amount on the card, TOUREXP SRL and the payment operator will take the necessary measures to cancel the transaction related to the unavailable goods.

4.3 The relevant card issuers directly check the authenticity of the orders before they are being processed.
If for any reason, it is not possible to charge the amount due, the sale process will be automatically cancelled, and the sale will be settled under ex. Art. 1456 c.c. The Customer will be informed via e-mail.

4.4 The communications relating to the payment and the data given by the Customer take place on specially protected lines and with all the guarantees ensured by the use of the security protocols provided by the payment networks.

5) Prices

5.1 The sales prices shown on the website, www.villaromanazzi.com, are to be understood with I.V.A. (VAT) and refer only to services sold online.
The applied price will be the one in force at the time of the order and indicated in the order confirmation e-mail, without considering price increases or decreases, or promotions, possibly arrived subsequently after the order.

5.2 The issuance of the invoice is not mandatory if the Customer does not request it no later than the time of operation, as indicated in Art. 22 of the D.P.R. of 26 October 1972 No. 633.
By sending the order to TOUREXP SRL the Customer agrees to receive the invoice/receipt in electronic format. The customer can also receive the invoice/receipt in paper format by expressly requesting it to TOUREXP SRL. After the invoice is issued, it will not be possible to make any changes to the data indicated in the same invoice.

6) Availability of Services

6.1 The availability of the services refers to the moment when the Customer looks at the service(s) on the website; this must, however, be considered purely indicative because due to the simultaneous presence of multiple users on the website, the service could be sold to others before the order confirmation. In any case, TOUREXP SRL cannot be held responsible for the unavailability of one or more services.

6.2 TOUREXP SRL will not be in any way responsible for the temporary or definitive unavailability of one or more services. The site highlights cases where restrictions on the purchase of individual services are valid. In the case of unavailability, even temporary, of the services requested, TOUREXP SRL undertakes not to charge the customer the corresponding price. If the order has been sent and the price has already been paid for items that are no longer available, TOUREXP SRL will refund the customer the full amount paid for those items.

6.3 Even after sending the e-mail confirmation of the order by TOUREXP SRL, there may be cases of partial or total unavailability of the goods.
In these cases, the Customer will be immediately informed by a written notice or an e-mail and can decide if he/she accepts the delivery of only available services, obtains reimbursement for the unavailable products or cancels the order and gets reimbursement of amounts possibly already paid. Communication goes via email.

6.4 In the case of the previously mentioned points, the Customer can choose, when sending the order, whether to accept a service other than the agreed one, with the same value.

7) Delivery Methods

7.1 TOUREXP SRL will deliver the services selected and purchased via e-mail. TOUREXP SRL will not charge any delivery costs.

7.2 Orders will be processed as soon as they are received. TOUREXP SRL undertakes to deliver the services as quickly as possible and within a maximum of 30 days from the day of the conclusion of the contract.

8) Responsibility

8.1 TOUREXP SRL assumes no responsibility for disservices or failing to execute the order within the time agreed in the contract, owing to force majeure or fortuitous events, even if they are caused by malfunctions and disruptions of the Internet.

8.2 TOUREXP SRL will not be liable for damages, losses, and costs incurred by the Customer resulting from the non-execution of the contract unless they are due to the act or omission of TOUREXP SRL. In that case, the Customer will be entitled to the full refund of the price paid and any additional charges incurred.

8.3 TOUREXP SRL cannot be held responsible for the information, data and any technical or other inaccuracies that may be contained on the website if third parties have communicated them and TOUREXP SRL verified them with due diligence.

8.4 8.4 TOUREXP SRL assumes no responsibility for any fraudulent and illegal use that may be made by third parties of credit cards, checks and other means of payment, upon payment of services purchased if Customer proves that he or she has taken all possible precautions on the basis of the best knowledge and experience available at the time and the basis of ordinary diligence.

9) Guarantees and Methods of Assistance

9.1 TOUREXP SRL markets high-quality services. Please note that in any case the Customer is protected by the legal guarantee of conformity for the goods which is provided for by the law. In the case of receipt of services that do not comply with the sales contract, under Art. 129 et seq. of the Consumer Code, the Customer loses all rights if she/he does not report the lack of conformity to the seller within two months from the date on which the defect was discovered. It is not necessary to report the defect if the Seller recognises the existence of the error or conceals it.

9.2 In the event of a lack of conformity, the Customer may request, alternatively and without any charges, the following conditions: the replacement of the purchased service, a reduction in the purchase price or the termination of this contract, unless, according to Art. 130, Paragraph 4 of the Consumer Code, the request is objectively impossible to satisfy or excessively burdensome for TOUREXP SRL.

9.3 The request must be sent in writing by a registered letter with return receipt to TOUREXP SRL, Via G. Capruzzi, 326 – 70124 Bari. TOUREXP SRL will indicate its willingness to proceed with the request, or the reasons that prevent it from doing so, within seven working days of receipt. In the same communication, if the Customer’s request has been accepted, TOUREXP SRL will have to indicate how to replace the service.

9.4 If the replacement is impossible or excessively expensive, TOUREXP SRL will not proceed with it within the period referred to in the previous point. If the replacement or repair previously carried out have caused considerable inconvenience to the Customer, she/he may request, at its choice, a reasonable price reduction or the termination of the contract. In this case, the Customer must send her/his request to TOUREXP SRL which will indicate its willingness to proceed with that, or the reasons that prevent it from doing so, within seven working days from receipt.

9.5 In the same communication, if the Customer’s request has been accepted, TOUREXP SRL will have to indicate the reduction in the proposed price or the methods for returning the service. In such cases, it will be the Customer’s responsibility to indicate how to credit the amounts previously paid to TOUREXP SRL.

9.6 The Customer undertakes to pay the price of the service purchased in accordance with the times and methods indicated in these General Conditions of Sale.

9.7 Once the online purchase procedure has been completed, the Customer undertakes to print and retain these Terms and Conditions of Sale, which will have already been expressly accepted before the conclusion of the procedure.

9.8 The Customer is solely responsible for the correctness of the data entered in the registration procedure and undertakes not to enter false, invented, and fictitious data. The Customer relieves TOUREXP SRL of any responsibility deriving from the issue of incorrect financial documents due to the fact that the Customer provided wrong data.

10) Privacy

The website owner is TOUREXP SRL, with a registered office in Via G. Capruzzi, 326 – 70124 Bari. To exercise the rights in accordance with Art. 7 of Legislative Decree 196/2003, write to the data controller in charge of processing personal data at TOUREXP SRL or to this e-mail address info@villaromanazzi.com

11) Integrality

11.1 These General Sale Conditions are constituted by the totality of the clauses that compose them.

11.2 If one or more provisions of these General Terms and Conditions of Sale are considered invalid in accordance with the law or following a decision of the jurisdiction; the other provisions will continue in full force and effect.

12) Applicable Law. Choice of the Forum

12.1 All the contractual relationships between the parties and these General Conditions of the Contract are governed by the Italian law.

12.2 Any disputes that may arise about the interpretation, application and execution of these General Conditions of Sale, the Court of Bari will be competent.

13) Final Clause

13.1 This contract shall appeal and replace any those agreements, collaborations, negotiations in written or oral form that were previously reached between the parties and are related to the subject of this agreement.
